These Terms of Service ("Terms") govern your access to and use of the websites, products, and services ("Services") provided by Palavir LLC ("Palavir," "we," "us," or "our"), including palavir.co and related SaaS applications. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Services

Palavir provides AI consulting, analytics consulting, training, and software-as-a-service products. The specific features and availability of each service may change over time. We reserve the right to modify, suspend, or discontinue any part of our Services with reasonable notice where possible.

2. Accounts

Some of our Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Transmit malware, spam, or other harmful or unsolicited content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Scrape, crawl, or otherwise extract data from our Services in an automated manner without our written consent
  • Resell or redistribute our Services without authorization

4. Intellectual Property

All content, code, designs, trademarks, and other materials on our websites and within our products are owned by Palavir LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our materials without our prior written permission.

You retain ownership of any content you submit or upload to our Services. By submitting content, you grant us a limited license to use, store, and process that content solely to provide and improve our Services.

5. Payment and Billing

Certain Services require payment. All prices are listed in U.S. dollars unless otherwise stated. Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees.

  • Subscriptions: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). You may cancel at any time, and your access will continue through the end of the current billing period.
  • Refunds: Refund requests are evaluated on a case-by-case basis. Contact support@palavir.co within 14 days of purchase to request a refund.
  • Consulting services: Consulting engagements are billed per the terms of the applicable statement of work or invoice. Payment is due within 30 days of invoice date unless otherwise agreed.

6. Service Availability

We strive to keep our Services available and reliable, but we do not guarantee uninterrupted or error-free operation. Our Services are provided on an "as available" basis. We may perform scheduled maintenance that temporarily affects availability and will provide advance notice when feasible.

7. Limitation of Liability

To the maximum extent permitted by law, Palavir LLC and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our Services.

Our total aggregate liability for any claims arising from or related to these Terms or our Services shall not exceed the total amount you paid to us in the 12 months preceding the claim.

8. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will meet your specific requirements or that results obtained from using our Services will be accurate or reliable.

9. Indemnification

You agree to indemnify and hold harmless Palavir LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to our Services at any time if you violate these Terms or if we reasonably believe your use poses a risk to us or other users. You may stop using our Services and close your account at any time by contacting support@palavir.co.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will remain in effect.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will revise the "Last updated" date at the top of this page. Your continued use of our Services after changes are posted constitutes your acceptance of the updated Terms. If you disagree with any changes, you should stop using our Services.
