Seller financing a small business: how common is it, and how does it work?

Short answer

Seller financing means the seller lets you pay part of the price over time (a seller note) instead of all at closing. 16% of US listings mention it. With an SBA loan, a seller note counts toward your down payment only if it is on standby (you pay nothing on it until the bank loan is paid off), and for no more than half of it.

How common is seller financing in business listings?

In about 16 in 100 US listings. It is 9% under $100,000, and between 18% and 24% from $250,000 up. A listing that says nothing may still agree to a note, and a listing that mentions one is not promising you one. Ask on every deal.

What is seller financing?

It is also called a seller note or owner financing. You sign a promissory note (a written promise to pay) and the seller becomes one of your lenders. The rest of the price usually comes from your cash and, often, a bank or SBA loan. A seller who carries part of the price keeps a stake in the business doing well, which can make them more willing to answer questions after closing.

Does seller financing count toward an SBA down payment?

Sometimes. Under SBA SOP 50 10 8.1 (issued by SBA Information Notice 5000-880695; effective October 1, 2026), seller debt can count toward the 10% equity injection if it is subordinated to the lender and on full standby, and it can cover no more than half of the 10%. Interest on a standby note may build up and be paid, with the note, after the 7(a) loan is paid off.

What the SBA rulebook says
"only debt that is on full standby (no payments of principal or interest for the term of the 7(a) loan) may be considered as equity for SBA's purposes."

Standby debt and other limited equity sources "may provide no more than half of the required Equity Injection."

An example, using round numbers of our own:

  • Total project cost: $550,000.
  • Minimum equity injection for an Initial Acquisition (buying an existing business as a new owner), 10%: $55,000.
  • Most a full-standby seller note could cover: $27,500.
  • The other $27,500 or more comes from your own cash or other sources the lender accepts.

So an SBA 7(a) purchase is not a zero-cash deal. The SBA down payment and coverage test article has the full rules. Two more rules touch the seller: earnouts (extra price paid later based on how the business performs) are prohibited, and the seller may stay only as a consultant for up to 24 months. See the 24-month seller rule. A lender or SBA attorney should confirm how this applies to a specific deal.

What should you ask for in a seller note?

  • How much, and what share of the price? A small slice differs from a third of the price.
  • Interest rate and length. Both are negotiable. Get them in writing in the note.
  • When do payments start? If you want the note to count as equity, ask whether the seller accepts full standby.
  • What happens if you miss a payment? Ask what the seller can take, and whether the lender must agree first.
  • Can you prepay without a penalty?
  • What if the numbers turn out wrong? Ask a lawyer whether the note can be reduced if the seller's financial statements were inaccurate.
  • Does the lender accept the structure? Ask before you sign.

What this data cannot tell you

  • These are asking prices, not the prices businesses sold for.
  • Profit is the seller's own figure. It often includes the owner's pay, so someone still has to do that work.
  • It is a snapshot of listings from October 2026, not a survey of all businesses.
  • The percentages count listings whose text mentions seller financing. They do not show how many sellers would agree if asked, or on what terms.
  • We did not find a source for typical seller-note rates and lengths that we could verify, so this article does not give them. Ask a lender, broker or attorney what is common where you are.

Questions people ask

What is seller financing on a small business?

Seller financing is when the seller accepts part of the purchase price as a loan to you, paid over time under a written note. The rest comes from your cash and usually a bank or SBA loan. Terms such as the amount, interest and length are negotiable.

How common is seller financing when you buy a business?

In Palavir's October 2026 scan of 3,928 US businesses for sale, 16% offer seller financing in the listing text. It is 9% of listings under $100,000 and between 18% and 24% of listings priced $250,000 and up. A mention is not a promise, and a listing with no mention may still agree, so ask.

Does a seller note count as a down payment for an SBA loan?

Seller debt can count toward the 10% equity injection if it is subordinated to the lender and on full standby (no payments of principal or interest for the term of the 7(a) loan), and it can cover no more than half of the 10%. This is from the SBA rulebook, SOP 50 10 8.1. Confirm with a lender or SBA attorney for a specific deal.

Can you buy a business with no money down using seller financing?

Under an SBA 7(a) loan for an Initial Acquisition (buying an existing business as a new owner), no. The 10% equity injection cannot be reduced or eliminated, and a standby seller note can supply at most half of it. Outside SBA loans, the terms are whatever you and the seller agree. Have an attorney review any deal.

Which businesses most often mention seller financing?

Among business types with at least 25 listings, consulting / training (38% of 32), marketing / web agency (local) (24% of 83), other local businesses (22% of 1,597), food / hospitality (21% of 136) mention it most. content / media (4% of 136), amazon seller (3% of 159), staffing / recruiting (3% of 109) mention it least.

What is a standby seller note?

A standby seller note is a loan from the seller that makes no payments of principal or interest while the bank or SBA loan is outstanding. The SBA allows full-standby debt to count as part of the equity injection, up to half of the requirement. Interest may build up and be paid later.
